Azure Marketplace Offer
Overview
The terms and conditions for RADNAC on the Azure Markeplace is as an amendment to the Microsoft Standard Contract (version February 2023).
This should make it process of reviewing our terms a lot simpler as you may have already accepted those terms elsewhere on another vendor’s Azure Marketplace offer.
Amendment
Definition of “Data Protection Law” to be updated to read as follows:
means:
to the extent the UK GDPR applies, the law of the United Kingdom or of a part of the United Kingdom which relates to the protection of Personal Data; or
to the extent the EU GDPR applies, the law of the European Union or any member state of the European Union to which the Publisher is subject, which relates to the protection of Personal Data.
References to “GDPR” to be deemed to be replaced with references to “Data Protection Law”.
Clause 7.3 to be deemed to be deleted.
Clause 8(a) to be updated to read as follows: “For Offerings ordered on a subscription basis, Publisher’s maximum liability to Customer for any incident giving rise to a claim will not exceed the amount Customer paid for the Offering during the 12 months before the incident.”
Clause 10.5 (Refund) to be deemed to be deleted.
Clause 11.10 (Applicable law) to be deleted and replaced with the following clause:
Governing law and jurisdiction.
Governing law. This Agreement and any dispute or claim arising out of or in connection with it or its subject matter or formation (including non-contractual disputes or claims) shall be governed by and interpreted in accordance with the law of England and Wales.
Jurisdiction. Each party irrevocably agrees that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with this agreement or its subject matter or formation (including non-contractual disputes or claims).”
References to “U.S. dollars” to be replaced with “Pounds Sterling”.
Definition of “EU GDPR” to be added as follows: ““EU GDPR” means the General Data Protection Regulation ((EU) 2016/679).”
Definition of “UK GDPR” to be added as follows: ““UK GDPR” has the meaning given to it in the Data Protection Act 2018.”
